An elected Governor is a public or staff member of the Trust and will be over the age of 16, live in or around the borders of Derbyshire or work for Derbyshire Mental Health Services NHS Trust.
An appointed Governor will be nominated from each of the nine local bodies, i.e:-

Derbyshire County PCT
Derby City Council
Derbyshire County Council
Derbyshire Constabulary
University of Derby
The University of Nottingham
Southern Derbyshire Voluntary Sector Mental Health Forum and
North Derbyshire Voluntary Action

Each Governor is expected to exercise his/her own skill and judgement in his conduct of the Trust affairs, brings as appropriate the perspective of the constituency from which they have been elected. A Governor will use his seat on the Council to feedback views, suggestions and comments from the members of his constituency to the Council of Governors, who will then take these through to the Board of Directors.
A Governor will be expected to attend the Council of Governor meetings which will be held in public. Service development and plans discussed at these meetings will then be fed back to their constituency members. These arrangment will give transparency to the running of the Trust because it is for and about the local people.
The Council will also:-
Appoint or remove the Chairman and other non executive directors
Approve the appointment of the Chief Executive
Decide on the remuneration of the non-executive directors
Appoints or removes the auditor
Considers the Annual Accounts, auditors reports and the Annual Report
Be ambassadors of the Trust
Recruit and encourage new members

The Council of Governors is a body of 29 elected and appointed members who have a direct involvement in the running and development of the trust.
The council is made up of 16 elected public governors, 4 elected staff governors and 9 appointed governors and is presided over by the Chairman of the trust. Elections will be held for seats every three years or when a vacancy occurs for any reason.
Elected Members
Elected members may hold office for up to three years and will then be eligible for re-election and be able to serve on the council for a period of no more than 9 years.
Appointed Members
Appointed members may also hold office for up to three years and may be re-appointed for up to a period of no more than 9 years.
Meetings
The Council of Governors will hold the Board of Directors to account and will meet not less than three times per year.
The Council of Governors and each Governor will act in the best interests of the Trust at all times and assist the Board of Directors in setting the strategic direction of the Trust and the targets for the Trust's performance. The Governors will also have a role in monitoring the activities of the Trust, with a view to ensuring that they are being conducted in a manner consistent with the terms of authorisation and the terms of the constitution.
The Council will determine what reports and information it requires from the Board of Directors.

The Trust Chairman precides over the Council of Governors as well as sitting on the Trust Board. One of his responsibilities is to ensure that information is passed between the Council of Governors and the Trust Board.
